Thank you for downloading the UnionDigital Mobile Application (the “UnionDigital App”) and opening an account with Union Digital Bank Inc. (“Bank” or “UnionDigital”). You are one step closer to an exciting digital banking experience through your UnionDigital App.

Your use of the UnionDigital App and Services (hereinafter “UD Services”) shall be governed by these UnionDigital Terms and Conditions (“UnionDigital T&Cs”). When using the UnionDigital Bank Mobile application, Account Services, and any other products UnionDigital may support from time to time (collectively the “Services”), you are deemed to have accepted and be bound by these Terms and Conditions. You must read carefully, agree and accept these T&Cs, along with any other additional terms or amendments, the Privacy Statement and such operational rule or other specific terms that govern any Account, Card or other Service.

Please note that when you use Services, you have the responsibility to keep your information and transactions private and secure. You need to observe the applicable Security Rules found in these Terms and Conditions.

There are words and terminologies here that have special meanings. To better understand them, please refer to the Definition of Terms.

You may choose to cancel your UnionDigital App access at any time without incurring any charges. Access to or downloading the UnionDigital App is not equivalent to opening a UnionDigital Account. If you have a UnionDigital Bank Account, deleting the UnionDigital App or terminating your access to it does not mean that your UnionDigital Account will automatically be closed. Closure of your UnionDigital Account is governed by the UnionDigital Account Terms of Use.

DEFINITION OF TERMS

This UnionDigital App T&Cs govern your use of the UD Services provided to you by UnionDigital Bank. Our use of the terms below has the following meaning:

  • "Account" refers to the debit account (“Pitaka”), or any other account opened with UnionDigital Bank in Your name.
  • A "Mobile Phone" refers to a cellular network phone unit with a subscriber identity module (SIM) card and corresponding mobile number assigned to the SIM card.
  • "One-Time Password" or "OTP" refers to the six-digit code sent to the registered mobile number or generated either through the UnionDigital App for purposes of authenticating the person logging in to the UnionDigital App or performing a financial transaction using the UnionDigital App.
  • "UnionDigital App" refers to UnionDigital's mobile application which you can use for UnionDigital App Services.
  • “UnionDigital App Services” or “Services” refer to the various financial transactions that you may use the UnionDigital App for, such as but not limited to, balance inquiry, fund transfers, bills payment, or load purchases. The Bank reserves the right to add to or remove the kinds of financial transactions you may perform using the UnionDigital App.
  • "We", "Us", "Our", "Bank" refers to UnionDigital Bank Inc.
  • "You" and "Your" refers to the owner of the Account and/or user of the UnionDigital App.

1. ACCESS TO ACCOUNT

  1. You may register for, access, and use your Accounts by downloading and installing your UnionDigital App from the Google Playstore or Apple App Store for free.
  2. Upon registration, you must authenticate your mobile number, and designate a password. By registering with the UnionDigital App, you warrant that all the information you provide are true, complete, up to date, and are verified by the identification document/s you submit.
  3. You agree to supply additional information as may be required by the Bank. You acknowledge that you are the owner of the nominated mobile number and e-mail address you provide to the Bank and maintained in the Bank's records, and that said mobile number and e-mail address are active, valid. You agree that the Bank can use either mode of communication where all enrollment, password-related information, and other online correspondences can be sent by the Bank. The Bank, at its sole discretion, reserves the right to validate the information you provide the Bank, and to require additional information from time to time, in compliance with applicable laws, rules, and regulations of the Philippines. Once your information has been validated, you will receive confirmation from the Bank through short message sending (SMS) and/or electronic mail (e-mail), as may be selected by the Bank. The Bank reserves the right to terminate your access to the UnionDigital Services if We determine that any information you provided Us are untrue, inaccurate, or incomplete.
  4. UnionDigital Services will only be available after validation of the information you provided and authentication of your identity. Once validated and authenticated, You may open an Account using the UnionDigital App. Closure of your UnionDigital Account is governed by the UnionDigital Account T&Cs herein.
  5. All instructions that We receive from you shall be considered fully authorized, valid and binding on you. The Bank shall not be liable for implementing the Services you instructed, including but not limited to instructions provided through the UnionDigital App. You likewise agree that the Bank shall have no obligation to verify the authenticity of any transaction received from you or purporting to have been made by you using the UnionDigital App.
  6. You acknowledge that all instructions once provided to the Us are irrevocable and binding on You, and You shall not dispute any instruction so provided. You hereby agree to hold UnionDigital Bank, its directors, stockholders, officers, employees, and representatives free and harmless and indemnify the Bank for any expense, loss, or damage that you incur due to the Bank's reliance on the information and/or instructions you provided.
  7. You guarantee and shall ensure that:
    1. The Services and Your Account are accessed and used only by You and not by any other person
    2. The mobile phone number used in opening and operating the UD Services and App belongs to You and you have access to it in an ongoing basis
    3. All instructions provided to the Bank are complete and accurate
    4. Your Account has sufficient funds to pay all applicable fees and to carry out any instructions
    5. You comply with all applicable laws, rules, and regulations of the Philippines and all applicable UnionDigital terms and conditions
    6. You shall be responsible for the security and confidentiality of your Account information, including but not limited to PIN, OTP, username, password, and/or other identifiers, and you shall refrain from disclosing them to any third party.
  8. The UnionDigital App may be utilized at any time except for when it is unavailable due to instances such as planned and/or unplanned system maintenance, telecommunication, electrical, network disruptions, and other analogous reasons. We will exert best efforts to inform you of any Services disruption. You hereby agree to hold UnionDigital Bank, its directors, stockholders, officers, employees, and representatives free and harmless and indemnify UnionDigital Bank for any expense, loss, or damage that you incur due to any Service disruption.
  9. The Bank reserves the right to amend, modify, suspend, or terminate UD Services immediately upon notice, and in accordance with applicable laws, rules, and regulations of the Philippines. However, the Bank reserves the right to reject your application, suspend, freeze, or close your Account should We find that you have provided false, inaccurate, incomplete information, or in violation of any applicable law, regulations or UnionDigital terms.

2. ONLINE BANKING PASSWORD SECURITY

  1. You shall keep your user ID, password, Account numbers and other Account information confidential and secure at all times and you are fully responsible for making sure that you take all reasonable steps to prevent disclosure. Under no circumstances should you keep a written or electronic record of your user ID and password, nor disclose these to any other person.
  2. You agree to assume full responsibility and liability for all transactions made in your Accounts through the use of the UnionDigital App. It is understood that the password is known only to you and as such, any transaction effected using your password and/or OTP shall be conclusively presumed to be done by you or authorized by you unless the Bank receives notification in accordance with Sec. 2(d).
  3. You agree that the Bank, at its sole discretion, is entitled to act on the instructions received from you through the UnionDigital App after the correct entry of your user ID, password, OTP, and/or your other biometric authentication methods such as but not limited to fingerprint scanning and facial recognition. You further agree that the Bank shall not be liable and you agree to indemnify the Bank, its stockholders, directors, officers, employees, and representatives for any losses, damages or costs the Bank incurs for acting in accordance with or based on requests/instructions received through the UnionDigital App, which the Bank believes to have emanated from you.
  4. As a safety measure, you further agree and undertake to change your password from time to time as you deem necessary. You likewise further agree and undertake to change your password as and when required by the Bank. If you believe that your Mobile Phone or password may have been lost/stolen or that someone has used it without your permission, you shall notify the Bank immediately by submitting a ticket through the UnionDigital App and you agree to give the Bank a reasonable period to de-activate your compromised UnionDigital App User ID and password. You agree to hold the Bank, its stockholders, directors, officers, employees, and representatives free and harmless for any losses, damages, or costs which you may incur resulting from the loss of your Mobile Phone or password, or the fraudulent transactions which may occur if you fail to or fail to timely notify the Bank that your mobile phone or password may have been lost/stolen or that someone has used it without your permission.
  5. You agree to be fully responsible for the Mobile Phone you use to access the UnionDigital App including its maintenance, repair and installation of the necessary security patches and/or upgrades.
  6. You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers (PINs), or any other codes that you use to access the Services. You are responsible for keeping your personal information, including contact details such as phone number and email address, up to date, under the UnionDigital App, as applicable.
  7. When changing your UnionDigital App password, choose a password which must not relate to any readily accessible data, such as your address, telephone number, date of birth etc. and other easily guessable combination of numbers, or to any personal information where your identity is apparent or can be reasonably and directly ascertained. Do not let any unauthorized person have access to your Mobile Phone or leave your Mobile Phone unattended while accessing the UnionDigital App.
  8. You acknowledge that the OTP is an added security feature that requires you to enter a unique 6-digit password for your online transactions and help the Bank authenticate your identity. The UnionDigital App does not allow deactivation of the OTP feature for your safety.
  9. The UnionDigital App has set transaction limits for certain services, in accordance with applicable AML regulations and the Bank’s policies. The Bank, its stockholders, directors, officers, employees, or representatives shall not be liable for losses, costs or damages for transactions that do not go through in excess of the limits set by the Bank.

3. SERVICES

  1. Open an Account. You can open an Account using the UnionDigital App by filling in all the information required by the Bank. After your information is verified by our system and subject to all the assessment and approval processes of the Bank for account opening, you will be notified either of your Account being opened or if we are unable to open the account for you. To be clear, account opening is subject to the Bank's sole discretion. Once you have opened an Account, you can use the UnionDigital App to activate your Account where you can save, add money, and send money. To be eligible to use Services, you must be at least 18 years old, and a Filipino citizen.

    Accounts shall be subject to applicable Philippine Deposit Insurance Corporation (PDIC) laws, rules, and regulations. including the insured value as follows:

    Deposits are insured by the PDIC up to a maximum amount of Five Hundred Thousand Pesos (P500,000.00) per depositor; and PDIC shall assume that the name(s) appearing on the deposit instrument is/are the actual/beneficial owner(s) of the deposit, except as otherwise provided.
  2. Interest. Interest bearing Accounts shall earn interest at a rate determined by UnionDigital on a per annum basis and in accordance with applicable laws, rules, and regulations.
    1. Any Interest for an Account, whenever applicable, will be computed and credited to the respective account based on our policy, and subject to applicable withholding taxes and fees as determined by UnionDigital.
    2. Interest rates and interest calculation method may change when conditions warrant from time to time and We will notify you via appropriate methods.
    3. No interest will be paid on UnionDigital Account closed prior to the scheduled crediting of interest.
  3. Balance Inquiry. You may view the Account balances of your Account(s). The Account dashboard screen contains separate sections for your Account(s) in the UnionDigital App. If you wish to hide/unhide Account details and balances in the UnionDigital App, you can click on the Hide/Unhide Account button
  4. Send and Receive Money. You may send and request money from your own Account/s to another UnionDigital Accounts or third-party accounts with other local banks provided that: (1) there are sufficient funds available in the source account; (2), the information provided are complete, correct and valid; and (3) the total amount of the transaction(s) do not exceed the allowable limits set by the Bank or you. You hereby agree that all fund transfers initiated through the UnionDigital App shall be subject to such transaction limits, cut-off periods, service fees, and other policies that may be imposed by the Bank and by the relevant electronic funds transfer service provider or network such as, but not limited to, InstaPay and PESONet. The Bank, its stockholders, directors, officers, employees, and representatives shall not be liable for losses, costs or damages for failed or incorrect fund transfers resulting from errors or inaccurate information you provide us with. You guarantee and warrant the validity and legality of the underlying transactions and payments you make every time you use the Send and Add Money feature of the UnionDigital App and/or Services. The transaction amount verified by Us is deemed to be the correct amount transacted by you in your Account.
  5. Provision of UnionDigital Services. You agree that We may modify or discontinue any portion of the Services and/ or suspend or terminate your access to the UnionDigital App Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that the Bank, its stockholders, directors, officers, employees, and representatives shall not be liable to you or any third party for any modification or termination of the Services, or suspension or termination of your access to the Services, except to the extent otherwise expressly set forth herein.
  6. Fees. Service charges, fees and penalties include but are not limited to, the following:
    1. Annual fee;
    2. Fees for Accounts falling below the required maintaining balance;
    3. Dormancy fee;
    4. Transaction fees;
    5. Other fees and charges UnionDigital may impose or introduce from time to time, depending on the policy it may adopt, and within the limits allowed under applicable laws, rules, and regulations.

4. REACH UNIONDIGITAL SUPPORT

You may reach the Bank for inquiries or concerns about your Account, the UnionDigital App and UnionDigital App Services, or to report unauthorized transactions in the UnionDigital App by clicking “Help Center” in the log in screen and by going to settings and clicking “Help Center”. You may also email us at help@uniondigitalbank.io. UnionDigital is an entity regulated by the Bangko Sentral ng Pilipinas. You may contact the BSP – Financial Consumer Protection Department (FCPD) at (02) 708-7087 or consumeraffairs@bsp.gov.ph .

5. ACCURACY OF INFORMATION

The Bank will use reasonable efforts to ensure the accuracy of information accessed through the UnionDigital App but does not warrant that the information will be free from error. If you notice an error in the Account information supplied to you through the UnionDigital App or by the use of any of the UnionDigital Services, you shall advise the Bank as soon as possible. The Bank will endeavor to correct the error promptly on a “best efforts basis” and adjust any fees or charges arising out of the error.

6. PRIVACY POLICY

Please read the Privacy Policy also found in this App to understand how we use and process any information you give us and to know your rights as a data subject. Your use of the UnionDigital App shall be deemed as your consent to and acceptance to this Privacy Policy.

7. ADDITIONAL FEATURES AND SERVICES

The Bank may, from time to time, introduce new banking features, products, and services. We will inform you of these new features, products, and services through the UnionDigital App, UnionDigital website, or through your email address/phone number that you have provided us with. These UnionDigital T&Cs automatically apply to your use of these new features, products, and services in addition to the specific terms and conditions that will be made available to you concerning these features, products, and services.

The Bank does not guarantee the continuous availability of all banking products or services mentioned in this Agreement. The Bank reserves the right to suspend or terminate, in its sole discretion, any of the services and features in the UnionDigital App.

8. LIABILITY

The Bank, its stockholders, directors, officers, employees, and representatives shall not be liable for any loss or damage of whatever kind or nature in connection with the UnionDigital App in the following instances:

  1. Disruption, failure or delay relating to or in connection with the UnionDigital App and/or UnionDigital App Services which are due to circumstances beyond the control of the Bank, unforeseen events or fortuitous events such as but not limited to pandemics, prolonged power outages, breakdown in computers, software, operating systems and telecommunication facilities, typhoons, floods, public disturbances and calamities and other similar or related cases;
  2. Loss or damage arising out of any fraudulent access or utilization of the UnionDigital App due to (1) theft; (2) unauthorized disclosure of Mobile Phone numbers, emails, user ID or passwords; and (3) unauthorized usage of biometrics and other security measures used by the UnionDigital App with or without your participation;
  3. Your use or misuse of the UnionDigital App and/or any UnionDigital App Service;
  4. Any inaccurate, incomplete or incorrect information you provided to the Bank or any fraud or misrepresentation on your part;
  5. Any indirect, incidental or consequential loss, loss of profit or damage suffered by reason of the use or failure or inability to use the UnionDigital App and/or UnionDigital App Services, or the loss of your Mobile Phone and other electronic devices;
  6. Any and all liability, costs, damages, losses and causes of action arising from or in any way connected with the disclosure of information concerning your Accounts and/or transactions with the Bank to unauthorized persons for any reason whatsoever, including but not limited to wiretapping of communication lines or erroneous connection by telecommunication switches, or errors in transmitted information due to faulty lines, and any and all forms of high technology surveillance or fraud.
  7. Any and all liability, costs, damages, losses and causes of action you may suffer resulting from errors, breakdown or failure of third-party systems which the Bank is connected to or used by the Bank in providing the UnionDigital Services.

9. SERVICE CHARGES AND TAXES

  1. You will need to be connected to the Internet when using the UnionDigital App. Internet usage may entail charges from your network provider and these are charged directly to your Mobile Phone prepaid load or postpaid account. It is your responsibility to monitor your Mobile Phone charges and to ensure that you have enough mobile credits to access the UnionDigital App and perform financial transactions using the UnionDigital App. We will not be liable for any cost, damages or liabilities you or any third party may suffer resulting from your inability to access the UnionDigital App or perform a UnionDigital App Service because you have insufficient credits on your Mobile Phone.
  2. You are also responsible for paying any and whatever taxes which may be due or imposed by your use of the UnionDigital App or UnionDigital App Services. You authorize the Bank to automatically withhold any and all such taxes due and required to be withheld by the Bank.
  3. The Bank reserves the right to change the charges, fees, or other terms described in this UnionDigital App Agreement. When changes are made and/or fees, charges or other material terms are added the Bank will, as far as practicable, inform you of such changes either by sending a notice to you using the information you provided to the Bank. The Bank may also choose to publish such changes on its website and it is your responsibility to make sure you are updated on them.
  4. You agree to be responsible to check the UnionDigital website from time to time, for any updates to this UnionDigital App T&Cs. You further agree that your continued use of the UnionDigital App after any of the changes have taken effect will constitute your consent and adherence to such changes.
  5. As always, you may choose to decline charges by closing your Account(s) or refraining from using the UnionDigital App Services to which these changes relate but charges already incurred shall remain due from and payable by you. We also reserve the option, in our business judgment, to waive, reduce or reverse charges or fees on a case-to-case basis.
  6. Service charges, fees and penalties include but are not limited to, the following:
    1. Annual fee;
    2. Fees for Accounts falling below the required maintaining balance;
    3. Dormancy fee;
    4. Transaction fees;
    5. Other fees and charges UnionDigital may impose or introduce from time to time, depending on the policy it may adopt within the limits allowed by law and regulations.

10. INTELLECTUAL PROPERTY

  1. UnionDigital developed and owns, or has the full right to use the UnionDigital App, including all its components and content. You may not reproduce, disassemble, reverse engineer, translate, decompile, decode, modify or create derivative works from or exploit the UnionDigital App and its components, publish, transmit distribute, display or modify its contents in any way, in whole or in part, any of its contents or related software. All worldwide rights, titles and interests in the UnionDigital App and the UnionDigital App Services including their respective components and contents, belong to the Bank. Any violation of this clause automatically grants UnionDigital to terminate all your rights to the Services.

11. TERMINATION OF THE UNIONDIGITAL SERVICES

  1. You may terminate your use at any time of the UnionDigital App and/or UnionDigital App Services in the following manner:
    1. If you no longer wish to use the UnionDigital App and/or UnionDigital App Services, you can delete / uninstall the application from the Mobile Phones where you have installed the UnionDigital App.
    2. Without the UnionDigital App, you will no longer be able to perform UnionDigital App Services but you will remain responsible for all transactions performed on your Account and the corresponding fees, charges and taxes which may be due thereon. Please be reminded that uninstalling the UnionDigital App is not the same as closing the Account. If you wish to close your UnionDigital Account, please refer to the UnionDigital Account Terms of Use.
  2. The Bank may, at its sole discretion, immediately terminate your use of the UnionDigital App and/or any UnionDigital Service without incurring any liability should any of the following occur:
    1. Your failure or refusal to comply with any provision in this UnionDigital App T&Cs or the Bank’s policies.
    2. If your continued use of the UnionDigital App and/or the UnionDigital Services will expose the Bank to any kind of risk such as but not limited to financial, operational, legal, reputational, regulatory risks.
    3. Your refusal to provide any information required by the Bank or should there be misrepresentation on your part or falsities in the information you provide; or
    4. Any other ground as provided in these T&Cs.
  3. The Bank may also withdraw the UnionDigital App and/or any UnionDigital Service for security and other reasons. In such instances, you will be given reasonable prior notice.
  4. The agreement comprised in this UnionDigital T&Cs shall be deemed to remain in full force and effect if and in so far as any transaction is completed but not debited to your Account/s prior to termination of the service. Also, termination of the UnionDigital App shall not prejudice your liability in respect of things done or omitted to be done prior to termination thereof.
  5. UnionDigital, its stockholders, directors, officers, employees and representatives shall be held free and harmless from any liabilities, claims and demands of whatever kind in connection with or arising from:
    1. closure of the account(s); and/or
    2. UnionDigital reporting the account closure and the reason(s) thereof to the Bangko Sentral ng Pilipinas (BSP), Bankers Association of the Philippines (BAP) or any other central monitoring entity or bureau established by the BAP or BSP to keep record of and monitor mishandled accounts.
  6. In all instances of account closure, UnionDigital shall return the deposit, if any, net of charges, applicable fees, taxes and/or contingent or past due liabilities. The accountholder may be notified either personally, by mail or through the Bank’s electronic channels, of the Bank’s intention to close the account and interest shall cease from the date of such notification. Notice by mail shall be deemed received within 14 calendar days after the date of posting. In all cases, the release of the funds of closed accounts shall be subject to the UnionDigital’s verification and submission.

12. FREEZING AND/OR SUSPENDING OF UNION DIGITAL ACCOUNT AND/OR SERVICES

  1. UnionDigital, may, at its option, and without prior notice, put the account on “total freeze” status and/ or suspend Your access to Services without incurring any liability to the accountholder for any of the following instances:
    1. if UnionDigital suspects the account and/or activity is involved in (or has a risk of involvement in) money laundering, terrorist financing, fraud, or any other type of financial crime; in response to a subpoena, court order, or other government order;
    2. if the accountholder fails to update his or her personal information for mandatory KYC requirements until required supporting documents have been submitted to the satisfaction of the Bank and in accordance with BSP rules and regulations; and/or
    3. upon the UnionDigital’s knowledge of the death of an accountholder until claimants have complied with the UnionDigital’s policy on deceased depositors and other legal requirements.

13. MISCELLANEOUS

  1. Should the Bank become involved in any litigation which may have relation with this UnionDigital App T&Cs or with any of the rights, powers and remedies hereunder, all fees and expenses incurred by the Bank in such a litigation, including a reasonable amount for the attorney's fees which amount is hereby agreed to be at the rate of ten percent (10%) of the sum sought, shall be paid by the you.
  2. This UnionDigital App T&Cs is governed by the rules and regulations of Bangko Sentral ng Pilipinas and applicable laws, rules, and regulations of the Philippines relating to the covered transactions herein. It shall be understood that access to and use of the UnionDigital App shall be subject to applicable requirements and procedures of government telecommunications or other regulatory authorities and those prescribed by law.
  3. The venue of all legal actions or proceedings arising out of or in connection with these UnionDigital App T&Cs shall be brought only in the proper courts of Pasig City to the exclusion of all other venues.

By clicking “I Agree”, I acknowledge that I have read, understood, and fully agree with the UnionDigital Terms and Conditions and my agreement shall have the same legal validity and enforceability as a manually executed signature or use of a paper-based record-keeping system to the fullest extent permitted by applicable law.
